1. Introduction

Welcome to CVNio. These Terms of Service ("Terms") govern your access to and use of CVNio's website, services, and resume templates, including our AI assistant functionality (collectively, the "Services"). Please read these Terms carefully, as they include important information about your legal rights. By accessing or using the Services, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the Services.

1.1 Binding Agreement

These Terms constitute a binding agreement between you and CVNio Inc. ("CVNio," "we," "us," or "our"). By accessing or using the Services, you accept and agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1.2 Additional Terms

In addition to these Terms, your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. Certain features of the Services may also be subject to additional guidelines, terms, or rules, which will be posted in connection with those features.

2. Eligibility and Account

2.1 Age Requirements

You must be at least 16 years old to use the Services. If you are between the ages of 16 and 18 (or the age of legal majority in your jurisdiction), you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Services, you represent and warrant that you meet all eligibility requirements listed in these Terms.

2.2 Account Creation

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

2.3 Account Security

You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section. You may be held liable for losses incurred by CVNio or others due to unauthorized use of your account.

2.4 One Person, One Account

You may not create more than one account for yourself or create an account for someone else unless you have their explicit permission. You may not share your account credentials with others or allow others to access your account.

3. Subscription and Payment

3.1 Subscription Plan

CVNio offers a comprehensive subscription plan that provides full access to all our features and services. The specific features are described on our pricing page. We reserve the right to modify, terminate, or otherwise amend our subscription plan.

3.2 Free Basic Access

We may offer limited free access to basic features. We reserve the right to change the features and limitations of the free access at any time. Free accounts may be subject to resource usage limits and feature restrictions.

3.3 Premium Subscription

Our premium subscription is charged at the beginning of the paid period. Unless you cancel at least 24 hours before the end of the current period, your subscription will automatically renew. You can cancel your subscription at any time through your account settings (see detailed instructions in the highlighted box above).

3.4 Payment Processing

We use third-party payment processors to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor, in addition to these Terms. We are not responsible for errors made by the payment processor.

3.5 Free Trials

We may offer free trial periods for our subscription plan. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will be charged the applicable subscription fee at the end of the free trial period.

3.6 Price Changes

We may change the price of our subscription plan from time to time, and will communicate any price changes to you in advance. Price changes will take effect at the start of the next subscription period following the date of the price change. By continuing to use the Services after the price change takes effect, you agree to pay the updated price.

3.7 Taxes

All fees are exclusive of taxes, which we may collect from you. You are responsible for paying all taxes associated with your use of the Services, including any sales, use, or value-added taxes.

4. Resume Templates and AI Assistant

4.1 Template License

We grant you a limited, non-exclusive, non-transferable license to use our resume templates to create your personal resumes. This license is for personal use only. You may not share, distribute, or sell our templates. Your subscription grants access to all available templates.

4.2 AI Assistant Features

Our AI assistant helps you optimize your resume content by providing suggestions for improvement. While our AI strives to provide helpful recommendations, you are responsible for reviewing and approving all content before finalizing your resume. We do not guarantee that use of our AI assistant will result in successful job applications.

4.3 Content Ownership

You retain ownership of all content you create or upload to our Services. By using our Services, you grant us a worldwide, non-exclusive license to host, store, and use your content solely for the purpose of providing and improving our Services.

4.4 Truthfulness in Resume Content

You are solely responsible for ensuring that all information in your resume is truthful and accurate. Our AI assistant may provide suggestions for improving your resume, but you should only include information that accurately represents your skills, experience, and qualifications.

4.5 ATS Optimization

While we design our templates to be ATS-friendly, we cannot guarantee that your resume will pass through all Applicant Tracking Systems, as these systems vary widely in their functionality and criteria. Our ATS optimization features are provided on an "as is" basis.

4.6 Data Storage Limitations

Premium accounts can store up to 10 different resume versions and 5 cover letters simultaneously. Free accounts are limited to 1 resume version. These limitations are subject to change and will be updated on our pricing page.

5. User Conduct

5.1 Prohibited Activities

In connection with your use of the Services, you agree not to:

• Violate any applicable law, regulation, or third-party rights
• Use the Services for any illegal, fraudulent, or unauthorized purpose
• Upload or transmit any harmful, malicious, or deceptive content
• Introduce viruses, worms, malware, or other harmful code
• Interfere with or disrupt the Services or servers
• Attempt to access areas of the Services not intended for public access
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Services
• Use the Services to send spam or unsolicited communications
• Use the AI assistant to generate false or misleading resume content
• Create resumes for others without their consent
• Resell, redistribute, or transfer our templates or AI-generated content

5.2 AI Use Guidelines

When using our AI assistant, you agree to:

• Review all AI-generated content before using it in your resume
• Not use the AI to create content that is false, misleading, or deceptive
• Not attempt to manipulate the AI to generate inappropriate content
• Use the AI assistant only for its intended purpose of resume and cover letter creation
• Report any inaccurate or inappropriate AI output to our support team

5.3 Monitoring and Enforcement

While we are not obligated to monitor access to or use of the Services, we reserve the right to do so for the purpose of operating the Services, ensuring compliance with these Terms, and complying with applicable law. We reserve the right, but are not obligated, to remove or disable any user content at any time and without notice.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by CVNio, its licensors, or other providers and are protected by copyright, trademark, patent, and other intellectual property laws. You agree not to copy, modify, create derivative works, publicly display, publicly perform, republish, download, or transmit any portion of the Services without our prior written consent.

6.2 License to Use Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include any resale or commercial use of the Services or its contents.

6.3 Resume Content Ownership

You retain all rights to your resume content. By submitting content to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in connection with providing the Services to you.

6.4 Feedback

If you provide us with any feedback or suggestions regarding the Services, you hereby assign to us all rights in such feedback and agree that we shall have the right to use such feedback and related information in any manner we deem appropriate without payment or attribution to you.

6.5 AI-Generated Content

Content generated by our AI assistant is provided for your personal use in creating your resume. While you may use this AI-generated content in your resume, we retain all intellectual property rights in the underlying AI technology, algorithms, and systems.

7. Data Security and Privacy

7.1 Data Protection

We implement appropriate technical and organizational measures to protect your personal data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access. These measures include encryption of sensitive data, regular security assessments, and employee training on data protection practices.

7.2 Data Retention

We retain your personal data and resume content indefinitely to provide you with continuous access to your information across your career development. This long-term retention allows you to return to our Services at any time without needing to recreate your resumes, even after extended periods of inactivity. You can request deletion of your data at any time through your account settings or by contacting our support team. Upon such request, we will permanently delete your data within 30 days.

7.3 Data Processing

We process your data in accordance with our Privacy Policy. Your data may be processed in the country where it was collected as well as other countries (including the United States) where laws regarding processing of personal data may be less stringent than the laws in your country.

7.4 Third-Party Service Providers

We may employ third-party companies and individuals to facilitate our Services, provide the Services on our behalf, perform Service-related tasks, or assist us in analyzing how our Services are used. These third parties have access to your personal data only to perform these tasks on our behalf and are obligated not to disclose or use it for any other purpose.

7.5 Data Subject Rights

Depending on your location, you may have certain rights regarding your personal data, including the right to access, correct, delete, restrict processing, or object to processing of your personal data. To exercise these rights, please contact us using the information in the Contact section.

8. Disclaimers and Limitations

8.1 Service Disclaimer

THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Employment Guarantee

We do not guarantee that using our resume templates or AI assistant will result in you securing employment. The quality of your resume is only one factor in the hiring process, and we have no control over employers' hiring decisions.

8.3 AI Limitations

Our AI assistant uses automated technology to generate suggestions. While we strive to provide accurate and helpful suggestions, the AI may not always provide perfect recommendations. You should always review and verify any AI-generated content before using it in your resume.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CVNIO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

8.5 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. If you terminate your account, you will not receive a refund for any fees you have already paid.

9.2 Termination by Us

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

9.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9.4 Data Retention After Termination

Even after account termination or cancellation of paid services, we continue to store your resume data and account information indefinitely by default. This allows you to seamlessly resume using our Services in the future if your career circumstances change. If you wish to have your data permanently deleted, you can make a specific deletion request by contacting support@cvnio.com. Upon receiving such a request, we will permanently delete your personal data within 30 days, although anonymized usage statistics may be retained for analytical purposes.

10. Indemnification

You agree to defend, indemnify, and hold harmless CVNio, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. However, this will not deprive you of the protections of the mandatory consumer protection provisions of the law of your country of residence if you access our Services as a consumer.

11.2 Arbitration

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Sheridan County, Wyoming, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

11.3 No Class Actions

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

11.4 International Users

If you are accessing the Services from outside the United States, you agree that your personal data may be transferred to and processed in the United States. For users in the European Union, the United Kingdom, or other regions with laws governing data collection and use that may differ from U.S. law, please note that we may transfer information to a country and jurisdiction that does not have the same data protection laws as your jurisdiction.

11.5 Injunctive Relief

Notwithstanding the foregoing, in the event of your or others' unauthorized access to or use of the Services in violation of these Terms, you agree that we are entitled to apply for injunctive remedies in any jurisdiction.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

13. Miscellaneous

13.1 Entire Agreement

These Terms constitute the entire agreement between you and CVNio regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Services.

13.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent shall be null and void. We may freely assign or transfer these Terms without restriction.

13.5 Notice

Any notice or other communication to be given hereunder will be in writing and given by email or regular mail.
